TERMS AND CONDITIONS OF USE, SUBSCRIPTION POLICY & REFUND POLICY

1. ACCEPTANCE OF TERMS

These Terms and Conditions of Use, Subscription Policy, and Refund Policy (“Agreement”) constitute a legally binding agreement by and between VibeWire Media Group, Inc., a Delaware corporation (“VibeWire,” “Company,” “we,” “us,” or “our”), and any individual or entity (“User,” “Customer,” or “you”) accessing or using any Company services.

By accessing, purchasing, or using any VibeWire services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

2. SCOPE OF SERVICES

VibeWire Media Group provides an integrated ecosystem of services, including but not limited to:

  • Livestream and Pay-Per-View (PPV) broadcasting

  • Digital television and subscription streaming platforms

  • Live event production and global broadcast distribution

  • Advertising, sponsorship, and marketing services

  • Telecommunications services (mobile, broadband, connectivity)

  • Fintech and cross-border payment solutions

  • Consulting and strategic media services

All services are provided subject to availability, technical capacity, and applicable agreements.

3. SUBSCRIPTION PLATFORMS & DIGITAL ACCESS POLICY

3.1 Platform Overview

VibeWire operates subscription-based digital platforms (collectively, the “Platforms”), including but not limited to its digital television and streaming services, which provide Users with access to live channels, on-demand content, and integrated Pay-Per-View offerings.

Access to the Platforms is granted on a limited, non-exclusive, non-transferable, revocable basis.

 

3.2 Subscription Plans & Billing

VibeWire offers tiered subscription plans, which may include:

  • Basic, Standard, and Premium/VIP access levels

  • Monthly and annual billing options

  • Add-on features, including premium channels and PPV events

All subscriptions:

  • Are billed in advance on a recurring basis unless canceled

  • Automatically renew at the end of each billing cycle

  • Require valid payment information at all times

VibeWire reserves the right to modify pricing, features, or plan structures at any time with reasonable notice.

 

3.3 Access & Availability

Upon successful payment:

  • Subscription access is typically granted immediately or within twenty-four (24) hours

  • Users may access content across supported devices, including mobile, smart TVs, and web platforms

VibeWire does not guarantee uninterrupted or error-free access and reserves the right to modify, suspend, or discontinue content or features at any time.

 

3.4 Pay-Per-View Integration

The Platforms may include embedded Pay-Per-View (“PPV”) functionality, allowing Users to purchase access to premium live events.

PPV purchases are:

  • Separate from subscription fees

  • Subject to additional terms outlined in Section 4 (Refund Policy)

 

3.5 User Responsibilities

Users are responsible for:

  • Maintaining account confidentiality

  • Ensuring compatible devices and internet connectivity

  • Complying with all applicable laws and usage restrictions

Unauthorized sharing, rebroadcasting, or distribution of content is strictly prohibited.

 

3.6 Suspension & Termination

VibeWire reserves the right to suspend or terminate access to subscription services for:

  • Non-payment

  • Violation of this Agreement

  • Unauthorized use or distribution of content

No refunds shall be issued for terminated accounts due to violations.

 

4. REFUND POLICY

4.1 General Policy

All sales are final unless otherwise stated. Refunds are issued only under limited qualifying conditions and at the Company’s discretion.

 

4.2 Pay-Per-View (PPV) & Livestream Services

All PPV purchases are non-refundable once access is granted, except in cases of:

  • Verified platform failure attributable to VibeWire

  • Event cancellation without rescheduling

  • Duplicate or erroneous transactions

 

4.3 Subscription Services

Subscription fees are non-refundable once the billing cycle begins.

  • Users may cancel at any time

  • Access continues through the billing period

  • No prorated refunds shall be issued

 

4.4 Live Event Tickets (In-Person)

All ticket sales are final, except:

  • Event cancellations (eligible for refunds)

  • Legal compliance requirements

Rescheduled events remain valid without refund.

 

4.5 Telecommunications Services

Activation fees and service charges are non-refundable once initiated. Refunds apply only to duplicate charges or verified service failures.

 

4.6 Advertising, Sponsorship & Consulting Services

All such services are non-refundable once commenced. Remedies for non-performance are limited to service credits or rescheduling.

 

4.7 Refund Requests

Requests must be submitted within seven (7) days with proof of purchase. Approval is at VibeWire’s sole discretion.

 

5. DELIVERY TIMEFRAME POLICY

Delivery timelines vary by service:

  • Digital access: Immediate to 24 hours

  • Production services: 7–90+ days depending on scope

  • Advertising campaigns: 3–10 business days (standard)

  • Telecom services: Immediate to 7+ business days

Delays caused by third parties or force majeure are not the responsibility of VibeWire.

6. PAYMENT TERMS

All payments are due in full at the time of purchase unless otherwise agreed in writing. Users authorize VibeWire to charge all applicable fees.

7. CHARGEBACKS & DISPUTES

Unauthorized chargebacks may result in account suspension, legal action, and recovery of damages.

8. LIMITATION OF LIABILITY

VibeWire shall not be liable for indirect or consequential damages. Total liability shall not exceed the amount paid for the service in dispute.

9. DISCLAIMERS

All services are provided “as is” without warranties of uninterrupted or error-free performance.

 

10. INTELLECTUAL PROPERTY

All content and technology are the exclusive property of VibeWire Media Group. Unauthorized use is strictly prohibited.

 

11. TERMINATION

VibeWire may suspend or terminate services for violations, fraud, or misuse.

 

12. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the State of Delaware.

All disputes shall be resolved through binding arbitration (AAA or JAMS), with venue in Delaware. VibeWire retains the right to seek injunctive relief where necessary.

13. FORCE MAJEURE

VibeWire is not liable for delays caused by events beyond its control, including network outages, natural disasters, or government actions.

14. MODIFICATIONS

VibeWire reserves the right to update this Agreement at any time. Continued use constitutes acceptance of updated terms.

15. ENTIRE AGREEMENT

This Agreement represents the full and complete understanding between the parties and supersedes all prior agreements.
